Nethive, an Italian provider of managed cybersecurity services and software, has received an undisclosed majority growth investment from Bregal Milestone. The investor also backed Nethive's acquisition of JoyComm, an Italian specialist in cybersecurity, IT/OT networking and cloud infrastructure. According to Bregal's announcement, the partnership will fund AI-enabled automation, a broader managed-services and proprietary-software offer, a stronger commercial organisation and selected acquisitions in Italy and abroad.
Terms of the transaction were not disclosed. The deal therefore matters less as a disclosed capital raise than as a change in ownership and a buy-and-build step: Nethive gains a growth-equity partner while adding JoyComm's technical capabilities to the operating platform.
Productising a managed-security platform
Nethive combines 24/7 monitoring, threat detection and response, vulnerability management, infrastructure protection and specialist consulting. Bregal says the company serves more than 250 enterprise, SME and public-sector customers across telecommunications, energy, healthcare, industry and public administration. Alongside that service work, Nethive develops HiveFlow, which lets telecom operators deliver network-based security services, and X-Suite for monitoring and log management across complex networks.
That mix creates the central commercial opportunity. Managed security depends on scarce technical staff, so service revenue can otherwise rise with headcount and delivery complexity. Nethive's plan to productise more of the offer and use AI-enabled automation could make repeatable monitoring, triage and reporting available across more customers while reserving specialists for investigation and response. That is an interpretation of the strategy, not a reported efficiency result; execution will depend on whether automation improves capacity without weakening the responsiveness customers buy from a managed provider.
Scale now depends on integration
Bregal reports that Nethive reached about €25m of revenue in 2026, representing roughly 30% compound annual growth since 2020, while headcount increased from about 20 to more than 80 on a pro-forma basis including JoyComm. Those are investor-reported figures rather than independently audited metrics, but they explain why the transaction is structured around expansion rather than initial product validation.
JoyComm broadens the group across IT/OT networking, cloud infrastructure and advanced security consulting. The acquisition can deepen Nethive's customer offer and create more routes for its proprietary software, but it also raises an integration test: combining teams and service disciplines must preserve consistent operating processes in mission-critical environments. Bregal's capital and cybersecurity experience give Nethive resources for that work; the proof will be whether the enlarged platform can turn specialist capabilities into repeatable services across Italy and, eventually, other markets.
